1. Acceptance of These Terms
By creating an account or otherwise using GeoClub (the "Platform"), you agree to be bound by these Terms of Service. If you are agreeing on behalf of a company, you confirm you have the authority to do so and "you" refers to that company as well.
2. What GeoClub Is
GeoClub is a global B2B marketplace and business network for the energy and industrial sectors. It lets companies list products, services, software, and opportunities; lets buyers, suppliers, job seekers, and recruiters find and contact each other; and provides messaging, taxonomy-based search, and company profile tools to support those connections.
3. Accounts and Eligibility
You must provide accurate registration information and keep it up to date.
You are responsible for activity under your account and for keeping your password confidential.
Accounts are for genuine businesses and individuals acting in a business capacity; impersonation or fake company profiles are prohibited.
GeoClub may request verification documents for a company profile and may decline or revoke a verified badge at its discretion.
4. Your Content and Listings
You are solely responsible for the accuracy and legality of any product, service, job, opportunity, or company information you submit. GeoClub may review, moderate, reject, or remove listings that violate these Terms, applicable law, or are misleading, fraudulent, or otherwise unsuitable for the Platform.
5. Messaging and Off-Platform Contact
To keep conversations safe and attributable, messages sent through GeoClub should stay on the Platform until both parties choose to continue elsewhere. Sharing contact details to route a conversation off-platform may be flagged for review. Harassment, spam, and unsolicited commercial messaging are prohibited.
6. Prohibited Conduct
Posting false, misleading, or fraudulent listings or company information.
Infringing another party's intellectual property or confidential information.
Attempting to interfere with, probe, or circumvent the Platform's security.
Using the Platform to violate export control, sanctions, or other applicable law.
Scraping or harvesting data from the Platform without authorization.
7. Fees
Core directory, listing, and messaging features are currently free to use. GeoClub may introduce paid plans, featured placements, or other fee-based features in the future; any such fees will be disclosed before they apply to you.
8. Intellectual Property
GeoClub and its licensors retain all rights in the Platform itself (software, design, trademarks). You retain ownership of the content you submit, and grant GeoClub a license to host, display, and distribute it as necessary to operate the Platform.
9. Disclaimers
GeoClub is a venue connecting businesses — it is not a party to, and does not guarantee, any transaction, quote, or agreement between users. The Platform is provided "as is" without warranties of any kind to the fullest extent permitted by law.
10. Limitation of Liability
To the fullest extent permitted by law, GeoClub is not liable for indirect, incidental, or consequential damages arising from your use of the Platform, or for the conduct of any other user.
11. Suspension and Termination
GeoClub may suspend or terminate an account for violating these Terms, with the reason recorded and communicated to the account holder. A suspended account may appeal the decision through the process provided on the Platform.
12. Changes to These Terms
GeoClub may update these Terms from time to time. Continued use of the Platform after an update constitutes acceptance of the revised Terms.
